1. Acceptance of Terms

By accessing, downloading, or using Covenant Command Center (the "Service"), you ("User," "you," or "your institution") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Covenant Command Center ("Company," "we," "us," or "our").

⚠️ Important: If you are accepting these Terms on behalf of a banking institution or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Services Provided

Covenant Command Center provides AI-powered loan covenant extraction, monitoring, and breach detection services for banking institutions and financial services organizations.

2.1 Core Features

  • Automated Covenant Extraction: Extract covenants from loan agreements (typically 10 seconds to 2 minutes per document)
  • 92%+ Accuracy: Validated on 500-page stress tests
  • 152+ Covenant Types: Pre-mapped database including amendments (LMA, LSTA, APLMA standards)
  • Real-Time Breach Alerts: SMS and email notifications
  • Multi-Language Support: English, Chinese, Japanese, German, French, Spanish (zero setup required)

2.2 Technology & Performance

3. Beta Program Terms

3.2 Beta User Obligations

4. AI Accuracy Disclaimers & Limitations

Covenant Command Center uses artificial intelligence. While our Service achieves 92%+ accuracy on stress tests, AI is not perfect. You acknowledge and agree:

4.2 No Guarantee of Accuracy

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee 100% accuracy, completeness, or reliability. You assume all risk of relying on AI-generated output.

5. User Responsibilities & Verification Requirements

To mitigate AI risks, you agree to:

  • Report Errors: Notify us immediately of any inaccuracies
  • Maintain Original Documents: Keep source loan agreements for audit purposes

5.2 Prohibited Uses

You may NOT use the Service to:

  • Replace human oversight entirely
  • Make final compliance decisions without verification
  • Process documents containing illegal content
  • Reverse-engineer our proprietary mapping table
  • Share login credentials with unauthorized users

7.2 Professional Plan (Non-Beta)

7.3 Payment Terms

  • Payments due monthly in advance
  • Auto-renewal unless cancelled 7 days before renewal date
  • Accepted: Credit card, ACH, wire transfer
  • No refunds for partial months

8. Liability Limitations & Indemnification

8.1 Liability Cap

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED:

  • Beta Users: $1,000 (one thousand dollars)
  • Production Users: $10,000 (ten thousand dollars) OR 12 months of fees paid, whichever is LOWER

8.2 Disclaimer of Consequential Damages

WE ARE NOT LIABLE FOR:

  • Lost profits or revenue
  • Regulatory fines or penalties
  • Loan defaults resulting from missed breaches
  • Damage to business reputation
  • Third-party claims
  • Data loss (maintain your own backups)
⚠️ ASSUMPTION OF RISK: You acknowledge that relying on AI for covenant monitoring carries inherent risks. You assume full responsibility for verifying AI output and maintaining compliance.

8.3 User Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your misuse of the Service
  • Failure to verify AI-generated output
  • Violation of these Terms
  • Breach of applicable laws or regulations
  • Third-party claims related to your use of the Service

9. Intellectual Property

9.1 Proprietary Technology

The Service, including but not limited to the 152+ covenant term mapping table, AI extraction algorithms, and software code, is protected intellectual property.

9.2 License Grant

We grant you a non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes only. You may NOT:

  • Extract or replicate the covenant mapping table
  • Create derivative works
  • Sublicense or resell the Service
  • Remove proprietary notices

10. Termination & Cancellation

10.1 Cancellation by User

  • Cancel anytime with 7 days' notice

  • Access continues through end of paid period
  • No refunds for partial months

10.2 Termination by Company

We may terminate your access immediately if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in fraudulent activity
  • Attempt to reverse-engineer our technology
  • Misuse the Service in ways that harm us or third parties

10.3 Effect of Termination

Upon termination:

  • Your license to use the Service ends immediately
  • You must delete all copies of the software
  • We may delete your data after 30 days (export beforehand)
  • Sections 4, 8, 9, and 11 survive termination

11. Governing Law & Dispute Resolution
